These Terms of Service (“Terms”) constitute a legally binding agreement between Suflon Tech LLP (“MDPlix”, “Suflon Tech LLP”, “we”, “our”, or “us”) and the healthcare providers, medical practitioners, clinics, hospitals, diagnostic centers, pharmacies, and any other entities or individuals (collectively, “Providers”, “you”, or “your”) who access, use, or interact with our digital infrastructure, clinical management tools, marketing automation services, website development platforms, and patient engagement systems (the “Services” or “Platform”). We are committed to total transparency and clear governance, ensuring that our partnership supports your digital growth while maintaining the highest professional and regulatory standards. By utilizing MDPlix’s services, subscribing to any service plan, or accessing any part of the platform, you agree to comply with these Terms, our Privacy Policy, our Security Policy, and any additional technical or operational policies incorporated by reference. Your continued use of the Platform after any modifications to these Terms constitute your acceptance of the revised agreement. If you do not agree to these Terms, you must immediately cease all use of the Platform.

MDPlix provides a managed Digital Experience Platform (DXP) designed specifically for healthcare environments. Our core service offerings include the development and maintenance of professional clinical websites, the implementation of automated patient engagement workflows, the deployment of patient acquisition systems, the management of Electronic Medical Records (EMR), and the provision of teleconsultation infrastructure tailored for doctors, surgical centers, and diagnostic facilities. These services are provided as a Software-as-a-Service (SaaS) and are subject to the performance metrics and availability standards defined in these Terms or specific service level agreements. We reserve the right to modify, enhance, or discontinue specific features of the Platform at our discretion to improve service quality, ensure regulatory compliance, or reflect evolving industry standards. Such modifications will be communicated via the Platform or email as appropriate.

Governance and Acceptable Use Policy (AUP): All Users of the Platform must utilize the Services in a professional manner and in compliance with all applicable laws, including but not limited to the Information Technology Act, 2000, and relevant medical ethics guidelines issued by statutory bodies. Prohibited activities include, but are not limited to: (i) the transmission of any content that is defamatory, obscene, or infringing on intellectual property; (ii) attempting to bypass security measures or gain unauthorized access to other users’ data; (iii) using the Platform to distribute unsolicited commercial communications (SPAM); (iv) misrepresenting professional credentials or identity; and (v) any activity that could disrupt the integrity or performance of the Platform. MDPlix reserves the right to suspend or terminate access to any User found to be in violation of this AUP, without prior notice or liability. We maintain a zero-tolerance policy for activities that jeopardize patient data or the professional reputation of the healthcare community within our ecosystem.

Service Level Agreement (SLA) and Availability: MDPlix strives to maintain a minimum monthly uptime percentage of 99.9% for the core Platform infrastructure, excluding periods of scheduled maintenance or disruptions caused by external factors beyond our reasonable control (e.g., global internet outages, upstream cloud provider failures, or natural disasters). Scheduled maintenance will be communicated at least 48 hours in advance whenever possible. While we prioritize service continuity, MDPlix does not guarantee that the Platform will be error-free or uninterrupted. In the event of a significant service disruption, our engineering team will follow pre-defined incident management protocols to restore services as rapidly as possible. We provide multi-channel technical support to assist Providers with platform-related issues, subject to the response times defined in their specific service tier.

Intellectual Property Rights and Ownership: MDPlix retains all right, title, and interest in and to the Platform, including all software, source code, design elements, logos, proprietary algorithms, and any improvements or modifications thereof. Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for your professional practice during the term of your engagement. You retain full ownership of all clinical data, patient records, and original content (e.g., doctor photos, unique service descriptions) uploaded by you to the Platform (“Provider Content”). By sharing Provider Content on the Platform, you grant MDPlix a worldwide, royalty-free license to host, process, and display such content solely for the purpose of providing the Services and as permitted by our Privacy Policy. Use of MDPlix’s branding or trademarks for any purpose other than identifying your association with the Platform requires prior written consent.

Data Privacy, Security, and Clinical Confidentiality: Both MDPlix and the Provider acknowledge their respective roles in safeguarding patient information. MDPlix acts as a data processor for the clinical records maintained on the Platform, while the Provider acts as the primary data controller. You are responsible for obtaining all necessary consents from patients before processing their health data via the Platform. MDPlix will implement reasonable technical and organizational measures, as described in our Security Policy, to protect such data. We will not use patient data for any purpose other than delivering the Services, complying with law, or providing anonymized, aggregated insights as permitted by law. Providers must maintain the confidentiality of their account credentials and are responsible for all activities occurring under their accounts. MDPlix assumes no liability for breaches resulting from weak password practices or unauthorized internal access within the Provider’s clinic.

Fees, Billing, and Financial Obligations: Subscription fees for MDPlix’s services are calculated based on your selected service tier and are billed in advance on a monthly or annual basis as specified in your service order. All fees are non-refundable unless explicitly stated otherwise in a separate Master Services Agreement. Late payments may result in the suspension of access to certain platform features or the entire Platform after a grace period. MDPlix reserves the right to adjust its pricing with at least 30 days’ notice; your continued use of the Platform after a price change becomes effective constitutes acceptance of the new fees. You are responsible for all taxes, duties, or other governmental charges associated with your purchase of the Services. Any promotional discounts or credits granted are subject to specific terms and may be revoked if those terms are not met.

Limitation of Liability: To the maximum extent permitted by applicable law, MDPlix and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of the platform. In no event shall MDPlix’s total liability for all claims exceed the total amount paid by you to MDPlix for the services during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the legal theory advanced (contract, tort, negligence, or otherwise) and even if MDPlix has been advised of the possibility of such damages. We assume no liability for any clinical outcomes, diagnostic errors, or medical malpractice claims resulting from the use of our technical infrastructure as a tool in your medical practice.

Indemnification: You agree to indemnify, defend, and hold harmless MDPlix, its parent company, subsidiaries, affiliates, and their respective directors, officers, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property or privacy right; (iv) any claim that your Provider Content caused damage to a third party; or (v) any malpractice or clinical negligence claims brought by your patients. This defense and indemnification obligation will survive these Terms and your use of the Platform. MDPlix reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Warranties and Disclaimers: The platform and services are provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MDPlix does not warrant that the platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy, completeness, or timeliness of any information obtained through the platform. Any reliance on the platform for critical clinical decision-making is at the provider’s sole risk. No advice or information, whether oral or written, obtained from MDPlix or through the platform will create any warranty not expressly stated herein.

Term and Termination: These Terms remain in effect until your subscription is terminated by either party. You may terminate your subscription at any time by providing 30 days’ written notice or through the Platform’s account management interface. MDPlix may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or the AUP. Upon termination, your right to use the Platform will immediately cease. In the event of termination, you are responsible for exporting your Provider Content and patient data using the tools provided on the Platform during the notice period. MDPlix will maintain a backup of your data for 30 days post-termination, after which it may be permanently deleted in accordance with our data retention policies, unless a longer period is required by law.

Modifications to Terms and Services: MDPlix reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Platform and the Services. We may also update the Platform’s interface, features, or underlying technology without notice, provided such changes do not substantially degrade the primary functions of the contracted Services.

Dispute Resolution and Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be first attempted to be settled through amicable negotiations between the parties’ senior management. If stay unresolved for 30 days, such disputes shall be referred to and finally resolved by arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996. The tribunal shall consist of a sole arbitrator appointed by mutual consent or as per the Act’s provisions. The language of arbitration shall be English. The parties consent to the exclusive jurisdiction of the courts located in Bengaluru for any matters not covered by arbitration.

Miscellaneous Provisions: These Terms, together with the Privacy Policy and any other legal notices published by MDPlix on the Platform, constitute the entire agreement between you and MDPlix regarding the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and MDPlix’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. You may not assign your rights or obligations under these Terms without MDPlix’s prior written consent. MDPlix may assign its rights and obligations under these Terms without restriction.

We may communicate with you through the Platform, email, or other electronic means, and you agree that all such communications satisfy any legal requirement that such communications be in writing.
